1. Publisher and scope

COMMERCE 2050 is published and operated by T24 Global ("T24 Global", "we", "us"). These Terms apply to our websites, platform, software, AI assistants, APIs and related services. Tenant merchants are independent businesses; their own terms govern the goods, appointments, accommodation and other services they sell.

By entering an agreement for or using the Services, you agree to these Terms to the extent permitted by applicable law. A separately signed agreement takes precedence over conflicting provisions. You must be at least 18 and have authority to bind the organisation you represent. If you do not agree, do not use the Services.

2. Accounts and permitted use

You are responsible for accurate account information, lawful use, authorised users, access permissions and safeguarding your credentials. Promptly report suspected unauthorised access. Do not share licences beyond the purchased allowance, bypass controls, scrape non-public data, introduce malware, infringe rights or use the Services for unlawful activity.

We grant a limited, non-exclusive, non-transferable, revocable right to use the Services during your authorised subscription. No ownership of our software, designs, trademarks or technology is transferred. You retain ownership of your content and grant us the rights needed to host, process, transmit and display it to deliver and secure the Services.

3. Tenant and transaction responsibilities

Tenants are responsible for listings, product safety, availability, prices, taxes, permits, professional qualifications, customer notices, fulfilment, refunds and compliance in their markets. They must obtain the necessary permissions for personal data, messages, AI processing and third-party integrations. Platform features and sample configurations are not certification of legal, accounting, tax, medical, travel or regulatory compliance.

T24 Global is not the seller, merchant of record, payment institution, airline, hotel, medical practitioner or other professional for tenant transactions unless a separate written agreement expressly says so. Customer transaction disputes should first be raised with the relevant merchant. Demo catalogs, images, seats and availability are illustrative, not a promise of real-world inventory or fulfilment.

4. Fees, payments and cancellations

The checkout or signed order states the applicable price, currency, licence count, term, taxes and enabled add-ons. Unless expressly stated otherwise, quoted prices exclude applicable taxes. Third-party payment processing and currency conversion fees may apply where disclosed. You must pay undisputed amounts when due; we may suspend access for non-payment after reasonable notice.

Fees for a service already supplied, a commenced subscription term or completed implementation work are non-refundable except where required by law or agreed in writing. Cancellation stops future renewals where a renewal arrangement exists; it does not itself refund an elapsed or current term. A monthly price does not authorise automatic recurring charges without a separately disclosed and accepted mandate. Preview checkout does not collect payment or establish a paid subscription.

5. AI, automation and third-party services

AI output may be inaccurate, incomplete or unsuitable. Verify recommendations, prices, workflow decisions and professional information before relying on them. AI output is not medical, legal, investment or other professional advice. Transactions remain subject to server-side validation, tenant rules, availability and authorised confirmation.

Payment providers, messaging providers, model providers, networks and other integrations have their own terms and availability. You are responsible for the credentials and permissions you configure. We do not guarantee their performance or continuity and, to the extent permitted by law, are not liable for their acts, omissions or failures.

6. Availability, maintenance and data backups

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, T24 Global disclaims warranties of uninterrupted availability, error-free operation, fitness for a particular purpose and completeness or accuracy of data or AI output. No uptime commitment, recovery point, recovery time or service credit applies unless expressly agreed in a signed service-level agreement.

Maintenance, infrastructure failures, cyber incidents, supplier interruptions, changes in law and events beyond our reasonable control may interrupt or change the Services. You must keep independent, current backups and exports of business-critical data and test your own recovery arrangements. The platform is not a substitute for an independent archive or disaster-recovery system. These responsibilities do not remove our mandatory legal security or data-protection duties.

7. Exclusion and limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, T24 GLOBAL WILL NOT BE LIABLE FOR LOSS, CORRUPTION OR DELETION OF DATA; LOSS, INTERRUPTION OR UNAVAILABILITY OF SERVICE; LOST PROFITS, REVENUE, BUSINESS, GOODWILL OR EXPECTED SAVINGS; OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

Where liability cannot be excluded but may lawfully be limited, T24 Global's aggregate liability for claims arising out of the Services will not exceed the fees actually paid to T24 Global for the affected Service in the three months preceding the event giving rise to the claim. This is an aggregate cap, not a per-incident entitlement.

Nothing in these Terms excludes or limits liability, consumer remedies, personal-data rights or other obligations that cannot lawfully be excluded or limited, including liability for fraud or wilful misconduct where such exclusion is prohibited. If a limitation is unenforceable, it applies only to the extent permitted by law.

8. Business customer indemnity

To the extent permitted by law, business customers will defend and indemnify T24 Global against third-party claims and reasonable costs arising from their unlawful use, infringing content, unauthorised data processing, tenant transactions or material breach of these Terms. This does not apply to claims caused by T24 Global's own breach of its non-excludable obligations. We will give prompt notice, reasonably cooperate and not agree a settlement imposing obligations on you without your consent.

9. Suspension, termination and changes

We may restrict or suspend affected access where reasonably necessary to address security threats, unlawful activity, abuse, non-payment or material breach. Where practicable we will give notice and an opportunity to remedy; immediate action may be necessary to protect people, data or systems. Termination does not extinguish accrued payment obligations or rights.

You should export your data before your subscription ends. Any post-termination access or retention period is governed by your agreement, applicable law and the Privacy Notice; indefinite storage or restoration is not promised. We may update these Terms prospectively and identify the revised date. Material changes will be notified through the Services or an available account contact; further acceptance will be sought where required by law.

10. Indian law and Bengaluru jurisdiction

These Terms are governed by the laws of India. Subject to mandatory law, courts of competent jurisdiction in Bengaluru (Bangalore), Karnataka, India have exclusive jurisdiction over disputes concerning these Terms or the Services. This does not restrict a consumer's right to approach a competent consumer forum, regulator or other legally mandated authority, or displace mandatory protections in another applicable jurisdiction.

Please first contact [email protected] so we can attempt to resolve the matter. Nothing in this informal process suspends or shortens a statutory limitation period or prevents urgent relief. Invalid provisions are severed to the extent necessary; the remaining lawful provisions continue to apply.
